These Terms of Service (“Terms”) govern your use of the CollabScene website and services (the “Platform”) operated by Sundown Digital Solutions (“CollabScene”, “we”, “us”). By using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. Acceptance of terms
By creating an account, posting a brief, applying to a brief, or otherwise using the Platform, you confirm that you have read, understood, and accept these Terms and our Privacy Policy and Refunds & Cancellation Policy.
2. Eligibility
You must be at least 18 years of age and capable of entering into a legally binding contract under Indian law to use the Platform. If you use the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
3. Account & registration
To use most features of the Platform, you must register an account and choose a single role: creator or brand. One account per user; one role per account. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at support@collabscene.com if you suspect unauthorised access.
4. Creator obligations
If you use the Platform as a creator, you agree to:
- Provide accurate information on your profile, including handles, niches, formats, and portfolio
- Apply only to briefs you genuinely intend to deliver, not for speculative collection of brand contacts
- Honour the terms of any collaboration you accept, including deliverables, timeline, and disclosures required by applicable advertising regulations (including, where applicable, the Advertising Standards Council of India guidelines)
- Not misrepresent metrics, audience demographics, or past work
5. Brand obligations
If you use the Platform as a brand, you agree to:
- Provide accurate information about your company, industry, and the brief you post
- Post briefs only for genuine collaboration intent, not as a pretext for collecting creator contacts or content samples
- Treat creators and their content with respect, including providing feedback within a reasonable time and honouring agreed payment terms (when paid features become live)
- Comply with all applicable advertising, tax, and consumer protection laws in any campaign run with a creator matched through the Platform
6. Content & intellectual property
Your content
You retain ownership of the content you upload to the Platform: profile information, portfolio items, briefs, applications, messages. By uploading content, you grant CollabScene a non-exclusive, royalty-free, worldwide licence to host, display, and surface that content on the Platform for the purpose of operating the marketplace (for example, showing your portfolio to a brand viewing your profile, or showing your brief to relevant creators).
Off-platform content
Any agreement reached between a creator and a brand regarding copyrights, usage rights, exclusivity, or licence of campaign content is between those two parties. CollabScene is not a party to that agreement. We strongly encourage parties to record the terms of any collaboration in a written document signed by both sides.
Our content
The Platform, including its design, code, branding, and copy, is owned by CollabScene and protected by intellectual property law. You may not copy, modify, or reverse-engineer it.
7. Payments & fees
The Platform is currently free to use during beta. Creators receive the first three months of access at no cost; brands post briefs at no cost; and CollabScene takes no commission on collaborations agreed between users.
When paid features go live (for example, the pay-and-apply model for creators or per-brief charges for brands), the specific terms, including price, billing cycle, and refund eligibility, will be clearly disclosed at the point of purchase. Continued use of a paid feature after a price change constitutes acceptance of the new price for future billing periods.
Refund and cancellation rules for any paid feature are governed by our Refunds & Cancellation Policy.
8. Prohibited conduct
You may not use the Platform to:
- Post unlawful, defamatory, infringing, obscene, or hateful content
- Impersonate another person or entity, or misrepresent your affiliation
- Harass, threaten, or otherwise abuse another user
- Scrape, copy, or republish Platform data without our written permission
- Circumvent the Platform to take a relationship initiated through the Platform off-platform with the intent to avoid a fee, once paid features are live
- Interfere with the security or proper functioning of the Platform
We may suspend or terminate accounts that engage in prohibited conduct.
9. Termination
You may stop using the Platform and request deletion of your account at any time by emailing support@collabscene.com. We may suspend or terminate your access if you breach these Terms or engage in conduct that harms the Platform or other users. Provisions that by their nature survive termination, including intellectual property, disclaimers, limitation of liability, and governing law, survive any termination of your account.
10. Disclaimers
The Platform is provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law, CollabScene disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
CollabScene is a marketplace; it is not a party to any collaboration agreed between a creator and a brand. We do not guarantee the conduct, performance, or quality of any user, nor do we guarantee that any specific creator will be matched with any specific brand or vice versa.
11. Limitation of liability
To the fullest extent permitted by law, CollabScene’s total aggregate liability arising out of or in connection with these Terms or your use of the Platform will not exceed the greater of (a) the amounts paid by you to CollabScene in the twelve months preceding the event giving rise to the claim, or (b) ₹1,000. CollabScene will not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill.
12. Governing law
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in India.
